TERMS OF SERVICE

1) Who we are & acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services offered under Visa Nexus AI (the “Service”). Visa Nexus AI is a public-benefit initiative of Build Champions, a U.S. 501(c)(3) nonprofit organization (EIN: 92-3110997) (collectively, “Build Champions,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to these Terms and to our Privacy Policy (incorporated by reference). If you do not agree, do not use the Service.

Nonprofit disclosure & legal notice: Visa Nexus AI is an educational, self-help platform operated by Build Champions, a 501(c)(3) nonprofit. We are not a law firm, do not provide legal advice, and no attorney-client relationship is formed by your use of the Service. We are not affiliated with USCIS or any government agency.

2) Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. If you are under 18, you may use the Service only with the consent of a parent or legal guardian who accepts these Terms on your behalf. You represent that you have the authority to bind yourself or, if applicable, your organization to these Terms.

3) About the Service (informational use only)

• No legal advice. Outputs (including AI-generated text, checklists, summaries, timelines, or recommendations) are for informational purposes only and may be incomplete, inaccurate, or outdated. You are responsible for reviewing official government instructions and for seeking advice from a licensed attorney about your specific situation.
• No representation or filing. We do not represent you before any agency or court, do not file documents on your behalf, and do not guarantee outcomes or timelines.
• Government links. Links to USCIS or other agencies are provided for convenience only; we are not affiliated with those entities.

4) Accounts, security & notifications

You may need an account to use some features. Provide accurate information and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately of any unauthorized access: support@visanexusai.com.

We may send you service, security, or transactional notices (e.g., deadline reminders you opt into). You can manage preferences in your account settings.

5) Acceptable use

• Violate any law or regulation (including immigration, export, or sanctions laws).
• Seek or rely on the Service for legal advice or representation.
• Upload unlawful, defamatory, harassing, discriminatory, or infringing content.
• Attempt to reverse engineer, scrape, or overload the Service; interfere with security; or misuse AI outputs to deceive or defraud.
• Use the Service to create or disseminate malware, spam, or for high-risk activities where errors could result in death, personal injury, or severe damage.

We may suspend or terminate access for violations (see §14).

6) User content & license

If you upload content (e.g., documents, data, messages) you retain ownership. You grant Build Champions a worldwide, non-exclusive, royalty-free license to host, process, and display your content solely to operate and improve the Service. You represent you have all necessary rights to grant this license and that your content does not infringe others’ rights.

If you submit feedback, you grant us a perpetual, irrevocable license to use it without compensation.

7) Intellectual property

The Service, including its content, software, logos, and trademarks (e.g., Visa Nexus AI, Build Champions) is owned by Build Champions or our licensors and is protected by law. Except for the limited rights expressly granted, no rights are transferred to you. You may not use our marks without prior written permission.

If you believe content infringes your copyright, email a DMCA notice to legal@visanexusai.com with: (a) your contact info, (b) identification of the work and allegedly infringing material, (c) a statement of good-faith belief, (d) a statement under penalty of perjury that your notice is accurate, and (e) your signature.

8) Payments, refunds & donations

The Service may offer both free and paid features. Fees will be disclosed at checkout and are billed by or on behalf of Build Champions.

Subscriptions. Unless otherwise stated, subscriptions renew automatically until canceled. You may cancel at any time; your access continues until the end of the current billing period. Refunds are generally not provided except where required by law or at our discretion.

Donations. Donations support our nonprofit mission and are processed securely over HTTPS. Donations are tax-deductible to the extent allowed by law (receipt provided). If you made a donation in error, contact donations@visanexusai.com within 30 days; refunds for donations are discretionary and subject to applicable law.

Nonprofit allocation. As disclosed on our site, at least 65% of our proceeds support charitable programs, including education and legal-resource support for underserved communities. This statement reflects our programmatic commitment and public reporting goals; it does not convert your payment into a restricted gift unless expressly designated and accepted by Build Champions.

Taxes & processors. You authorize us and our payment processors to charge your selected payment method. You are responsible for any taxes. We may change prices upon notice (price changes apply to future periods).

9) Privacy & data

Your use of the Service is also governed by our Privacy Policy, which explains what we collect, how we use it, and your choices. We use safeguards including HTTPS and industry-standard encryption in transit and at rest. No security is perfect; you use the Service at your own risk.

Do not upload sensitive personal data you do not wish to share with us. The Service is not designed for attorney-client privileged communications and does not guarantee confidentiality on that basis.

10) Third-party services & links

The Service may integrate or link to third-party services (e.g., payment processors, document storage). We do not control and are not responsible for third-party services. Their terms and privacy policies apply.

11) Disclaimers

THE SERVICE AND ALL CONTENT/OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD CHAMPIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT AI OUTPUTS OR CONTENT ARE CORRECT, CURRENT, OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD CHAMPIONS AND OUR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, OR GOODWILL; OR SERVICE INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13) Indemnification

You agree to defend, indemnify, and hold harmless Build Champions from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, content you submit, or violation of these Terms or applicable law.

14) Suspension & termination

We may suspend or terminate your access to the Service at any time, with or without notice, including for actual or suspected violations of these Terms, security risks, or misuse. You may stop using the Service at any time.

15) Governing law & venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflicts-of-law principles. You and Build Champions agree to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina for any dispute not subject to arbitration, and you waive objections to personal jurisdiction and venue there.

Optional arbitration clause: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the Federal Arbitration Act and the rules of the American Arbitration Association. You and Build Champions waive the right to a jury trial. You may opt out within 30 days of first accepting these Terms by emailing legal@visanexusai.com.

16) International use & export

You are responsible for compliance with local laws. You may not use the Service if you are located in a country embargoed by the U.S., are on a U.S. government restricted list, or for any prohibited end use.

17) Changes to the Service or Terms

We may modify the Service and these Terms from time to time. Changes take effect when posted (or on the date specified). If you continue using the Service after changes are posted, you accept the changes. For material changes, we will provide reasonable notice (e.g., by email or in-product notice).

19) Miscellaneous

These Terms constitute the entire agreement between you and Build Champions regarding the Service and supersede prior agreements on this subject. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor. We are not liable for delays or failures due to events beyond our reasonable control (force majeure).
